Terms and conditions

By using, logging into or otherwise utilising QuoteRunner you hereby agree to the below terms.

QuoteRunner is a trading name of Cost Advice Services Ltd, a company registered in England and Wales with company registration number 03086905 and who's registered office is situated at 1 Church View, Clay Cross, Chesterfield, Derbyshire, S45 9HA.

Any reference to We, Us, Our, QuoteRunner, CostAdvice shall mean Cost Advice Services Ltd.

Any reference to You, Your, Customer, shall mean you, the user of QuoteRunner.

QuoteRunner (the Application) is licensed to You (End-User) by Cost Advice Services Ltd (hereinafter 'Licensor'), for use only under the terms of this License Agreement.

By downloading or using the Application, and any update thereto (as permitted by this License Agreement), You indicate that You agree to be bound by all of the terms and conditions of this License Agreement, and that You accept this License Agreement.

All rights not expressly granted to You are reserved.

1. THE APPLICATION

QuoteRunner (hereinafter: Application) is a piece of software created to search, display and allow users to choose their preferred commercial electricity and gas supply quotations and contracts – and customized for mobile devices or the webapp. It is used to provide supplier quotations for commercial energy supplies.

2. SCOPE OF LICENSE

2.1 You are given a non-transferable, non-exclusive, non-sublicensable license to use the Licensed Application on any Products that You (End-User) own or control, with the exception that such licensed Application may be accessed and used by other accounts associated with You (End-User, The Purchaser) via Family Sharing or volume purchasing.

2.2 This license will also govern any updates of the Application provided by Licensor that replace, repair, and/or supplement the first Application, unless a separate license is provided for such update in which case the terms of that new license will govern.

2.3 You may not share or make the Application available to third parties (unless to the degree allowed by Cost Advice Services Ltd's prior written consent), sell, rent, lend, lease or otherwise redistribute the Application.

2.4 You may not reverse engineer, translate, disassemble, integrate, decompile, integrate, remove, modify, combine, create derivative works or updates of, adapt, or attempt to derive the source code of the Application, or any part thereof (except with Cost Advice Services Ltd's prior written consent).

2.5 You may not copy (excluding when expressly authorized by this license and the Usage Rules) or alter the Application or portions thereof. You may create and store copies only on devices that You own or control for backup keeping under the terms of this license, and any other terms and conditions that apply to the device or software used. You may not remove any intellectual property notices. You acknowledge that no unauthorized third parties may gain access to these copies at any time.

2.6 Violations of the obligations mentioned above, as well as the attempt of such infringement, may be subject to prosecution and damages.

2.7 Licensor reserves the right to modify the terms and conditions of licensing.

2.8 Nothing in this license should be interpreted to restrict third-party terms. When using the Application, You must ensure that You comply with applicable third-party terms and conditions.

3. TECHNICAL REQUIREMENTS

3.1 Licensor attempts to keep the Application updated so that it complies with modified/new versions of the firmware and new hardware. You are not granted rights to claim such an update.

3.2 You acknowledge that it is Your responsibility to confirm and determine that the app end-user device on which You intend to use the Application satisfies the technical specifications mentioned above.

3.3 Licensor reserves the right to modify the technical specifications as it sees appropriate at any time.

4. MAINTENANCE AND SUPPORT

4.1 The Licensor is solely responsible for providing any maintenance and support services for this licensed Application. You can reach the Licensor at the email address listed on the website. www.quoterunner.co.uk .

5. USER GENERATED CONTRIBUTIONS

5.1 QuoteRunner shall have a royalty-free, worldwide, transferable, sub-licensable, irrevocable, perpetual licence to use or incorporate into the Application and Services provided by QuoteRunner any suggestions, enhancement requests, recommendations or other feedback provided by you.

6. CONTRIBUTION LICENSE

We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations in the Application; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.

7. LIABILITY

7.1 Licensor's responsibility in the case of violation of obligations and tort shall be limited to intent and gross negligence. Only in case of a breach of essential contractual duties (cardinal obligations), Licensor shall also be liable in case of slight negligence. In any case, liability shall be limited to the foreseeable, contractually typical damages. The limitation mentioned above does not apply to injuries to life, limb, or health.

7.2 Licensor takes no accountability or responsibility for any damages caused due to a breach of duties according to Section 2 of this Agreement. To avoid data loss, You are required to make use of backup functions of the Application to the extent allowed by applicable third-party terms and conditions of use. You are aware that in case of alterations or manipulations of the Application, You will not have access to licensed Application.

8. WARRANTY

8.1 Licensor warrants that the Application is free of spyware, trojan horses, viruses, or any other malware at the time of Your download. Licensor warrants that the Application works as described in the user documentation.

8.2 No warranty is provided for the Application that is not executable on the device, that has been unauthorizedly modified, handled inappropriately or culpably, combined or installed with inappropriate hardware or software, used with inappropriate accessories, regardless if by Yourself or by third parties, or if there are any other reasons outside of Cost Advice Services Ltd's sphere of influence that affect the executability of the Application.

8.3 You are required notify Cost Advice Services Ltd about issues discovered without delay by e-mail. The defect report will be taken into consideration and further investigated if it has been mailed within a period of seven (7) days after discovery.

8.4 If we confirm that the Application is defective, Cost Advice Services Ltd reserves a choice to remedy the situation either by means of solving the defect or substitute delivery.

8.5 We make no warranty and provide no guarantee of the functionality of the Application to provide quotations for any and all gas and/or electricity supplies. It is your responsibility to ensure that any quotations displayed are fit for purpose, meet your requirements and the terms of any Supply Agreement are suitable to you. We will have no liability for any actions or omissions carried out by you or failure to properly read and understand and Supply Agreement or terms of such Supply Agreement. Any Supply agreement you enter into is legally binding.

9. ENERGY QUOTATIONS AND DATA

9.1 You acknowledge that You are aware and understand that when signing a supply agreement provided by Cost Advice Services Ltd:

a) You are agreeing a legally binding contract with the supplier;

b) the commission which CostAdvice include in a quotation may be payable by You, and collected by the Supplier on Our behalf;

c) the supplier might not accept the contract, if it doesn't meet their conditions (for example if they fail the credit check);

d) You have to end Your current contract and arrange payment of any outstanding balances and/or penalties You owe; and

e) the supplier may contact You directly.

9.2 CostAdvice reserve the right to not provide the services to a customer if they believe they have a legitimate reason to withhold such services. Services include the analysis of energy supplies, tendering and obtaining energy prices, securing energy prices with the customer's chosen supplier, resolving any supply issues including but not limited to transfer objections and invoicing issues.

9.3 CostAdvice may offer any services they wish to do so to a customer, and do not have to offer the same services or level of service to all customers. CostAdvice reserve the right to conduct its business within the law. CostAdvice may use personal contact information provided to us by customers to provide information relative to the products and services being supplied by CostAdvice to that customer and in accordance with our Privacy Policy.

9.4 Any prices or quotations sent to customers are provided in goodwill using information provided by the customer or supplier or any other reputable source. In all cases it is the customer's responsibility to ensure they have read, understood and agree to the energy supplier's terms and conditions prior to signing a supply agreement or providing CostAdvice the permission to sign a supply agreement on the customers behalf. If a supply agreement does not match the customer's requirements the Customer should refrain from agreeing to such Supply Agreement.

9.5 CostAdvice shall not knowingly disclose confidential information to any third party for marketing or other business purposes. CostAdvice may, and often will have to disclose certain supply information, company details or (where required) personal information to potential suppliers and other third parties (such as meter installers or siteworks providers) in order to carry out its business practices and obtain necessary quotations for electricity supplies, gas supplies, meter installations or any other works or quotes as requested by the customer. By using any services of CostAdvice or providing any of your information or preferences to CostAdvice you are permitting us to hold these details on file under the Data Protection Act and comply with GDPR, and use these details in line with our Privacy Policy.

9.6 If customers have a complaint regarding our services please contact us in the first instance by calling 01246 252780 or writing to us at CostAdvice, Church View, Clay Cross, Chesterfield, Derbyshire, S45 9HA . A copy of our complaints procedure is available upon request.

9.7 If customers have any queries regarding to the terms of service or CostAdvice's business practices they should contact the office by calling 01246 252780 or by writing to CostAdvice, Church View, Clay Cross, Chesterfield, Derbyshire, S45 9HA or by emailing enquiries@costadvice.co.uk.

9.9 Cost Advice may record and monitor all calls to and from its offices for training, monitoring and compliance purposes.

9.9 Any additional service provided by Cost Advice, including but not limited to query resolution, invoice verification and consumption/spend reporting, is provided as a goodwill gesture by Cost Advice to the Customer unless contracted separately and in writing, and may cease at any time, for any reason at the discretion of CASL.

9.10 If Cost Advice assists the customer with any account or supply related query regarding their electricity or gas, and during the course of assisting with such query obtains information relating to the Customer's energy supply prices, contracts or costs, the Customer grants Cost Advice the authority to obtain, present and (if agreed by the Customer) arrange a supply contract with the Customer's chosen Supplier.

9.11 Quotations presented within the Application may not, and are unlikely to, represent all tariffs from all Ofgem registered suppliers available to the Customer. Prices are displayed at the discretion of, and availability to QuoteRunner.

9.12 It is the ultimate responsibility of the Customer to ensure any supply offer accepted via CostAdvice is suitable for the Customer and meets their requirements.

9.13 The responsibility referred to in 9.12 is particularly relevant where the Customer may be obtaining quotations from additional TPIs or Energy Suppliers directly, and the Customer is therefore comparing offers from multiple parties.

9.14 When signing a Supply Contract and/or Letter of Authority, whether physical, electronic or otherwise, or where QuoteRunner may use third party software to apply the Customer signature to any document, including but not limited to Supply Contracts or Letters of Authority, the Customer hereby agrees they have read, understood and agree to any all such terms and conditions, policies and statements of such documents and grants Cost Advice Services Ltd all relevant authority to act upon the signature of such documents as the case may be.

9.15 Whilst ever you have an account with QuoteRunner, regardless of whether actively used, you grant Cost Advice Services Ltd the authority to check, track, record, store and use any data relating to your electricity and/or gas supplies including but not limited to suppliers, transfer dates, metering, data collection and aggregation, and any other information which may be stored in databases such as (but not limited to) Ecoes or such databases which supersede or mirror such databases currently used. Furthermore you agree it is your responsibility to update QuoteRunner with relevant and up to date information regarding your supplies.

9.16 Cost Advice Services Ltd are not liable for any incorrect data entered or provided by the Customer, and any resulting costs applied by any party, including Suppliers, will solely be the responsibility of the Customer. Data includes, but is not limited to any data regarding the Company, Person, Supplies, Tariffs or any documents relating to such data items.

9.17 QuoteRunner has the authority of the Customer to add, edit, change, amend, forecast, estimate or calculate howsoever QuoteRunner deems fit the Customer's profile, including any data relating to the Company, Person, Supplies, Tariffs, or any other information as the case may be where QuoteRunner deems it relevant to do so without notifying the Customer. It is the Customer's responsibility to ensure all their data, including any supply or tariff information, is up to date, accurate and relevant. Cost Advice will not be held liable for any quotations, or resulting Supply Contracts agreed by the Customer with a Supplier which is based on inaccurate information. It is the Customer's sole responsibility to ensure Supply Contracts agreed with a Supplier are correct and relevant for their needs and are based upon accurate information.

9.18 Upon selecting your chosen Supplier and Supply Contract via the website, You understand that further documentation may be required to be signed by You, including Supply Contract documents, Direct Debit forms and a letter of authority in order for the Supplier to process the Supply Contract. For the avoidance of doubt, the selection of a Supplier and/or Supply Contract via the website does not bind the Supplier nor Us to any Supply Contract unless confirmed by the Supplier.

i) You further acknowledge that We shall not be held liable for any change in prices, quotes, or terms imposed by Suppliers at any time, including the period between You selecting Your preferred Supplier and Supply Contract and the Supplier confirming receipt and acceptance of the Supply Contract, particularly if the price change has occurred due to a delay in You returning to Us any further required documentation.

9.19 The Contract Processing Fee ('CPF') is paid by You to Us at the point of You selecting Your preferred Supplier and Supply Contract. The CPF is non-refundable except on occasions whereby Your chosen Supplier rejects You as a Customer for any reason, and We are unable to find an alternative Supplier. For the avoidance of doubt, an alternative option shall not necessarily mean that the rates or terms from your originally chosen Supplier shall be matched.

9.20 We shall not be liable for loss of profits, revenue, business, goodwill, or indirect loss resulting from any failure of Our or Your systems or processes sending, receiving or otherwise communicating in order to complete and finalise the Supply Contract, including but not limited to the rejection or blocking of emails.

9.21 We shall not be liable for loss of profits, revenue, business, goodwill, or indirect loss resulting from any Supplier rejecting Your Supply Contract or proposal to enter into a Supply Contract for any reason, including but not limited to credit, business sector, or missing or incorrect information on any documents.

9.22 Although we make every effort to ensure the prices and quotations displayed to You are a true, valid and a fair representation of Supplier's quotations You acknowledge that, from time to time, such prices may indeed not be valid at the time for any reason, including but not limited to occasions where Suppliers may withdraw prices from the market without notice or pricing data may be inaccurate. For the avoidance of doubt, if the prices displayed to You are not available, agreeable or able to be negotiated with Your preferred Supplier, then We nor the Supplier shall be liable for such errors, omissions or exclusions and any resulting loss of profits, revenue, business, goodwill, or indirect loss.

11. TERMINATION

The license is valid until terminated by Cost Advice Services Ltd or by You. Your rights under this license will terminate automatically and without notice from Cost Advice Services Ltd if You fail to adhere to any term(s) of this license. Upon License termination, You shall stop all use of the Application, and destroy all copies, full or partial, of the Application.

12. APPLICABLE LAW

This license agreement is governed by the laws of the United Kingdom excluding its conflicts of law rules.

13. MISCELLANEOUS

13.1 If any of the terms of this agreement should be or become invalid, the validity of the remaining provisions shall not be affected. Invalid terms will be replaced by valid ones formulated in a way that will achieve the primary purpose.

13.2 Collateral agreements, changes and amendments are only valid if laid down in writing. The preceding clause can only be waived in writing.

13.3 You acknowledge and agree that we may at any time and for any reason change, modify or remove features and functions of the Application as we deem fit, and may suspend, block or remove features of the Application available to you.

13.4 You acknowledge and agree that any fee(s) payable by You is not a subscription payment to use the Application and does not grant you any rights of use or availability of the Application in any circumstances. The licence to use the Application can be withdrawn or modified at any time by us.

14. DEFINITIONS

'Agreement' means the Terms of Business and the rights and obligations contained within.

'Annual Consumption' is the actual or estimated gas, electricity or water consumption at the Customer's Supply Point(s) per year.

'Contract End date' is the expiry date of the Customers current Supply Contract at the time they engage CostAdvice by means of signing an LOA.

'Contract Renewal date' is the day after the Customer's Contract End date.

'Contract Processing Fee', 'CPF' means the Contract Processing Fee paid by You to Us for processing your preferred Supply Contract which may include but is not limited to creation of Supply Contract documentation, arranging signature by You of required documentation, submitting documentation to Your preferred Supplier, monitoring Your supply transfer and contacting Suppliers to discuss and resolve transfer objections. The CPF is non-refundable apart from the circumstances described in clause 9.19.

'Current Supplier' is the Supplier to the Customer's Supply Points at the time they engage CostAdvice by means of signing an LOA and/or Supply Contract or as indicated by the Customer in the data they provide to QuoteRunner.

'Customer', 'You', Your' means the Company and/or the individual (in cases of a sole trader or Partnership) who his using QuoteRunner.

'HH Consumption data' is the Half Hourly consumption data of gas or electricity for the Customer's Supply Point(s).

'Infrastructure Provider' means the provider of the infrastructure and or services for any New Connection.

'Procurement Services' are the actions and services provided by QuoteRunner to you in order to present electricity, gas and water quotations (as appropriate) to you, including but not limited to requesting consumption data from relevant parties, requesting Supply Contract quotations from Suppliers, Supplier negotiation, provision and presentation of Supply Contract offers and securing the agreed Supply Contract with your elected Supplier.

'MPAN' means an electricity Meter Point Administration Number or 'Supply Number'.

'MPR' means a gas Meter Point Reference Number.

'New Supply' means any gas MPR or electricity MPAN that has been created as a result of a New Connection.

'Renewal Contract' means any Supply Contract which is for any Supply Point which is subsequent to any previous Supply Contract for the same Supply Point.

'Supplier' is a supplier of Gas, Electricity and/or Water.

'Supply Capacity' is the Allocated Supply Capacity of electricity to a Customer's Supply Point(s) measured in Kva as agreed with the Distribution Network Operator (DNO).

'Supply Contract' is an agreement between the Customer and a Gas, Electricity and/or water supplier for the supply of Gas, Electricity and/or Water as applicable.

'Supply Point' is defined as an electricity Meter Point Administration Number (MPAN), gas Meter Point Reference (MPR) or water Supply Point ID (SPID).

'Supply Quotations' are the quotes, offers or contract documents produced by Suppliers detailing their charges for gas, electricity or water as the case may be.

'Terms' means all the terms included within this document.

'Third Party' means any party which is not CostAdvice, the Customer or a Supplier.

'We', 'Us', 'CostAdvice', 'Cost Advice', 'CASL', 'QuoteRunner', 'Licensor' means Cost Advice Services Services Ltd, a company registered in England and Wales with company registration number 03086905 and who's registered office is situated at 1 Church View, Clay Cross, Chesterfield, Derbyshire, S45 9HA.
